Welcome to Test & Save ("Platform," "Service," "we," "us," "our," or "Company"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Test & Save regarding your use of our commission-based marketplace platform that connects sellers, agents, and affiliate partners.

By accessing, browsing, or using Test & Save in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must immediately discontinue use of our Platform.

These Terms apply to all users including sellers, agents, affiliates, buyers, and any other parties using our Platform. Different sections may apply to different user types (Sellers vs. Agents/Buyers).

1 Definitions & Eligibility

1.1 Definitions:

• Seller: A business or individual who lists products on our Platform and offers commissions to agents/affiliates.
• Agent/Affiliate: An individual or organization that promotes sellers' products and earns commissions on successful sales.
• Buyer: An end consumer who purchases products promoted by agents/sellers through our Platform.
• Commission: The agreed-upon payment provided by sellers to agents for successful orders or referrals.
• Order: A transaction initiated by a buyer for a product listed by a seller.
• Platform: Our website, mobile application, and all related services and features.

1.2 Eligibility Requirements:

✓ You must be at least 18 years old or the legal age of majority in your jurisdiction.
✓ You must have the legal capacity to enter into a binding agreement.
✓ You must not be prohibited from using our Platform under applicable laws.
✓ You must provide accurate, current, and complete information during registration.
✓ You must comply with all applicable laws and regulations in your jurisdiction.
✓ Each person or business may maintain only ONE active account unless expressly authorized by us.
✓ You must not use our Platform for illegal activities or to violate the rights of others.

2 Account Registration & Security

When you create an account on Test & Save, you are responsible for:

• Providing truthful, accurate, and complete information.
• Maintaining the confidentiality of your password and account credentials.
• Immediately notifying us of unauthorized access or suspected breach.
• Taking responsibility for all activities conducted under your account.
• Keeping your account information up-to-date and accurate.

We reserve the right to suspend or terminate accounts that provide false information, are inactive for extended periods, or violate our Terms. You are solely responsible for any consequences resulting from unauthorized account access.

3 Seller Responsibilities & Obligations

Sellers must:

✓ Clearly list all product details, specifications, and terms of offers.
✓ Specify commission rates, payment terms, and fulfillment timelines.
✓ Provide accurate product images and descriptions without misleading claims.
✓ Process refunds or reimbursements within the agreed timeframe (typically 30-60 days).
✓ Honor all commitments made in product listings and promotional materials.
✓ Verify that products comply with all applicable laws and regulations.
✓ Ensure products are authentic and not counterfeit or stolen goods.
✓ Maintain professional communication with agents and handle disputes fairly.
✓ Respond to inquiries and support requests within 48 hours.
✓ Not demand fake reviews, artificially boosted ratings, or unethical practices.
✓ Respect intellectual property rights of all parties.

Sellers must NOT:

✗ Offer illegal products or services.
✗ Engage in fraudulent or deceptive practices.
✗ Fail to honor promised refunds after agents complete their obligations.
✗ Use bots or automation to artificially inflate sales or commissions.
✗ Bypass the Platform to avoid commission payments.
✗ Engage in harassment, discrimination, or abusive behavior.
✗ Use the Platform to conduct money laundering or financial crimes.
✗ Publish hateful, defamatory, or obscene content.
✗ Infringe on the intellectual property rights of others.
✗ Share other users' private information without consent.

⚠️ Important: If a seller fails to honor refunds, provides misleading information, or repeatedly violates these Terms, we reserve the right to suspend or permanently ban their account and report them to relevant authorities.

4 Agent & Affiliate Responsibilities

Agents/Affiliates must:

✓ Provide honest, unbiased, and accurate information about products.
✓ Disclose their affiliation with sellers and the commission structure.
✓ Comply with advertising standards and regulations in their jurisdiction.
✓ Not engage in spam, mass unsolicited messaging, or harassment.
✓ Respect buyers' privacy and data protection laws.
✓ Submit accurate documentation and proof of orders.
✓ Respond professionally to seller inquiries and concerns.
✓ Keep all confidential seller information private.

Agents/Affiliates must NOT:

✗ Create multiple accounts to receive more commissions or products.
✗ Post fake reviews, manipulated screenshots, or false testimonials.
✗ Misrepresent product features or seller credibility.
✗ Harass, threaten, or defame sellers or other users.
✗ Share sellers' proprietary information or marketing materials without permission.
✗ Use clickbait, misleading links, or deceptive promotional tactics.
✗ Sell or resell free/discounted products obtained through the Platform.
✗ Bypass the Platform to circumvent commission agreements.

5 Commission, Payments & Refunds

5.1 Commission Structure:

• Commissions are agreed upon between sellers and agents at the time of listing.
• Commissions may be fixed (e.g., $10 per order) or percentage-based (e.g., 15% of sale).
• Sellers may adjust commission rates for future campaigns but cannot retroactively change existing agreements.
• Commission disputes must be resolved through our Platform's resolution process.

5.2 Payment Processing:

• We facilitate commission calculations but do not guarantee payment processing times.
• Payments are typically processed within 5-7 business days after order verification.
• Agents must provide valid bank account or payment method information.
• We charge a platform fee of 5-10% on all commissions (clearly disclosed).
• Payment methods may include bank transfer, digital wallets, or check.

5.3 Refund Policy:

• Sellers must honor refunds within the agreed timeframe (e.g., 30 days from order).
• If a buyer's review is deleted or removed, sellers are still obligated to honor refunds.
• If a seller fails to process a refund, agents may dispute the commission.
• Test & Save will investigate refund disputes and may freeze seller accounts if fraud is suspected.
• Refunds initiated through marketplace platforms (Amazon, Walmart, etc.) override Test & Save agreements.

6 Prohibited Activities

All users are strictly prohibited from:

Illegal Activities: Using our Platform for any illegal purpose, money laundering, or financial crimes.

Fraud & Deception: Fraudulent schemes, fake accounts, or misleading representations.

Automation: Using bots, scripts, crawlers, or automated tools to bypass security.

Hacking & Attacks: Attempting to gain unauthorized access to our Platform or other users' accounts.

Harassment: Threatening, abusive, defamatory, or discriminatory behavior toward others.

IP Infringement: Violating copyrights, trademarks, or intellectual property rights.

Privacy Violations: Sharing other users' private information without consent.

Platform Circumvention: Attempting to bypass our commission system or conduct transactions outside the Platform.

7 Intellectual Property Rights

All content on our Platform, including logos, graphics, designs, trademarks, and software, is the intellectual property of Test & Save or our licensors. You may not reproduce, modify, distribute, or display any content without explicit written permission.

User-Generated Content:

By posting reviews, images, or comments on our Platform, you grant Test & Save a non-exclusive, royalty-free, perpetual license to use, reproduce, and display your content for Platform purposes. You retain ownership of your content.

Copyright & DMCA:

If you believe content on our Platform infringes your copyright, contact us immediately with proof. We will investigate and take appropriate action.

8 Account Suspension & Termination

We reserve the right to suspend or terminate any account at our sole discretion if we determine you have:

• Violated any provision of these Terms.
• Engaged in fraudulent, illegal, or harmful activities.
• Provided false or misleading information.
• Failed to pay owed commissions or fees.
• Engaged in abuse, harassment, or threatening behavior.
• Attempted unauthorized access to our Platform or other accounts.

Upon account termination, your access to the Platform will be revoked, and unpaid commissions may be forfeited. You may appeal suspension decisions by contacting our support team.

9 Disclaimers & Limitations of Liability

9.1 AS-IS Disclaimer:

Our Platform is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the Platform's functionality, availability, or fitness for a particular purpose.

9.2 No Liability for Third Parties:

We are not responsible for product quality, safety, authenticity, or performance provided by sellers. We do not guarantee that agents will find suitable opportunities or that sellers will find qualified agents. All transactions are at your own risk.

9.3 Limitation of Damages:

In no event shall Test & Save be liable for any indirect, incidental, special, or consequential damages, including lost profits, even if advised of the possibility of such damages. Our total liability is limited to the amount you paid us in the past 12 months.

10 Indemnification

You agree to indemnify and hold harmless Test & Save, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11 Dispute Resolution

11.1 Informal Resolution:

Before initiating formal legal proceedings, parties agree to attempt informal resolution through our Platform's dispute resolution tools. Both parties will have 14 days to resolve the matter.

11.2 Arbitration:

If informal resolution fails, disputes shall be resolved through binding arbitration rather than court proceedings. Each party bears its own costs. Arbitration is faster and more confidential than litigation.

11.3 Governing Law:

These Terms shall be governed by and construed in accordance with applicable international laws, without regard to conflict of law provisions.

12 Changes to Terms & Conditions

We may modify these Terms at any time. Material changes will be notified to you via email, and your continued use of the Platform constitutes acceptance of the updated Terms. If you object to changes, you may terminate your account.
